THIS INDENTURE, made on he 13th day of December, nineteen hundred and ninety-four BETWEEN ROBERT C. RICHTER. JR. and THERESA V. RICHTER, His Wife, residing at Route 9W, Box 215, Esopus, New York 12429 party of the first part, and MARGARET RICHTER, residing at PO Box 215, Route 9W, Esopus, New York 12429 party of the second part,

WITNESSETH, that the party of the first part, in consideration of
TEN ($10.00) dollars, lawful money of the United States, and for other good and valuable consideration paid by the party of the second part, does hereby grant and release unto the party of the second part, the heirs or successors and assigns of the party of the second part forever,

ALL that certain plot, piece or parcel of land, with the buildings and improvements thereon erected, situate, lying and being in the Town of Esopus, County of Ulster and State of New York, being Lot No. 2 as shown on a Map of Subdivision of Lands of Robert C. Jr. and Theresa V. Richter, as filed in the Ulster County Clerk's Office on March 26, 1992 as Map No. 9263, being more particularly bounded and described as follows:

BEGINNING at a concrete monument on the Easterly bounds of N. Y. S. Route 9W, said monument being the Northwesterly corner of Lot No. 1, said monument also being North 030 48' 00" West, 255.06 feet from a found concrete monument marking the Northwesterly corner of lands of Marist Brothers of The Schools, Inc.; thence North 020 59' 00" East, along said bounds of N. Y. S. Route 9W, 296.00 feet to a set iron bar, said iron bar being the Southwesterly corner of Lot No. 3; thence along the bounds of Lot No.3 the following seven courses and distance:

(1) North 830 18' 40" East, 154.16 feet to a set iron bar; thence
(2) South 200 18' 50" East, 380.55 feet to a set iron bar; thence
(3) North 830 28' 10" East, 114.18 feet to a set iron bar; thence
(4) North O70 01' 40" East, 423.78 feet to a set iron bar; thence
(5) South 800 03' 20" East, 1713.39 feet to a point; thence
(6) North 140 42' 00" West, 349.18 feet to a point; thence
(7) South 800 03' 20" East, 702.04 feet to a point on the high water line of the Hudson River;

thence along said high water line South I30 52' 40" East,180.58 feet to a point and South 130 06' 50" East,37.83 feet to a point, said point being the Northeasterly corner of Lot No. l; thence along the Northerly bounds of Lot No. 1 the following six courses and distances:

(1) North 800 03' 20" West, 648.04 feet to a point; thence
(2) South 140 42' 00" East, 167.64 fast to a point; thence
(3) North 800 03' 20" West, 1738.61 feet to a point; thence
(4) South 070 01' 40" West, 417.99 feet to a point; thence
(5) South 830 28' 10" West, 200.00 feet to a point; thence
16) North 700 20' 40" West, 265.67 feet to the point of beginning.

BEING 7.144 acres more or less.

Subject to a trail access easement made on the 2lst day of April, 1992 between Robert C. Richter, Jr. and Theresa V. Richter and the Scenic Hudson Land Trust, Inc. and filed in the Ulster County Clerk's office on April, 1992 in Liber at Page

Further subject to a declaration of covenant and restrictions entered between Robert C. Richter, Jr. and Theresa V. Richter and the Scenic Hudson Land Trust, Inc. on the 21st day of April 1992 and filed in the Ulster County Clerk's Office on April , 1997 in Liber at Page

Subject further to a right of a first purchase agreement entered between Robert C. Richter, Jr. and Theresa V. Richter and the Scenic Hudson Land Trust, Inc. on the 21st day of April 1992, and entered in the Ulster County Clerk's office on April , 1992 in Liber at Page

FURTHER subject to a driveway easement by the owners of Lot #1, as partially set forth on Map No. 9263, from State Route 9W to the proposed house locations on a said map. Use of said driveway for Lot #2 shall be limited to the access of the proposed home on Lot #2 and not for access to any other adjoining parcels. The cost of maintenance, repair, sanding and other costs associated with the upkeep of the driveway shall be shared equally by the parties as said expense is incurred.

FURTHER subject to a right of first refusal of the owners of Lot #1 in the event Scenic Hudson Land Trust does not wish to exercise its option as set forth above.

FURTHER subject to the right of the owner of Lot #1 to approve, prior to the improvement of Lot #2, such proposed improvement. The right of Lot #1 owner shall be of the same terms and conditions of the declarations of covenants and restrictions in existence with Scenic Hudson Land Trust, Inc. This provision shall not apply should the owner of Lot #2 be either of the grantors herein.

FURTHER subject to the right of reimbursement of Lot #1 owner for one-half of the expense for the construction of the driveway from State Route 9W and the costs and expenses associated with the implementation of all utilities to Lots #1 and #2, including interest upon such monies set forth by CPLR $5004. This provision shall not apply if the owner of Lot #2 are either of the grantors herein.

TOGETHER with all right, title and interest, if any, of the party of the first part in and to any streets and roads abutting the above described premises to the center lines thereof,

TOGETHER with the appurtenances and all the estate and rights of the party of the first part in and to said premises,

TO HAVE AND TO HOLD the premises herein granted unto the party of the second part, the heirs or successors and assigns of the party of the second part forever.

AND the party of the first part covenants that the party of the first part has not done or suffered anything whereby the said premises have been incumbered in any way whatever, except as of aforesaid.

AND the party of the first part, in compliance with Section 13 of the Lien Law, covenants that the party of the first part will receive the consideration for this conveyance and will hold the right to receive such consideration as a trust fund to be applied first for the purpose of paying the cost of the improvement and will apply the same first to the payment of the cost of the improvement before using any part of the total of the same for any other purpose.

The word "party" shall be construed as if it read "parties" whenever the sense of this indenture so requires.

Witnesseth that the party of the first part, in consideration of ten dollars paid by the party of the second part, does hereby remise, release and quitclaim unto the party of the second part, the heirs or successors and assigns of the party of the second part forever,

All that certain plot, piece or parcel of land, with the buildings an improvements thereon erected, situate, lying and being in the Town of Esopus, County of Ulster and State of New York and more fully described:

DESCRIPTION OF ”BEACH PROPERTY” TO BE EXCEPTED FROM LIFE ESTATE OF ROBERT C. Jr. & THERESA V. RICHTER (revision March 25, 1998)

All that piece or parcel of land situate in the Town of ESOPUS, County of Ulster and State of New York, being more particularly bounded and described as follows.

Beginning at a point on the Westerly high water mark of the Hudson River, said point being the Southeasterly most corner of a 12.183 acre parcel described in a Life Estate Agreement made between Robert C. Richter, Jr. and Theresa. V. Richter and The Scenic Hudson Land Trust., Inc., as recorded in the Ulster County Clerk's office in deed book 2166 at page 325; thence along the southerly and Southwesterly bound. of last mentioned parcel, North 72° - 27 '- 00" West 162..92 feet to a point and North 42° -22.'-00" West 57.57 feet to a set iron bar; thence North 47° -38'-00" East, through the last mentioned parcel, 175.46 feet to a point on the aforementioned high water mark of the Hudson River; thence along said high water mark the following three courses and distances

(1) South 07° - 48' - 20" West, 101.12 feet to a point; thence
(2) South 18' – 31' - 40" East. 63,80 fee~ too a point; thence
(3) South 49° - 41 '- 40” East, 75.97 feet to the point of beginning.

Being 0.318 acre more or less

Together with all right, title and interest, if any, of the party of the first part in and to any streets and roads abutting the above described premises to the center lines thereof,

Together with the appurtenances and all the estate and rights of the party of the first part in and to said premises

To have and to hold the premises herein granted unto the party of the second part, the heirs or successors and assigns of the party of the second part forever.

And the party of the first part covenants that the pary of the first part has not done or suffered anything whereby the said premises have been incumbered in any way whatever, except as aforesaid.
